The Company's Board of Directors and Board of Commissioners have diverse competencies and expertise as well as qualified professional experience in making effective and efficient decisions.
The Board of Directors and the Board of Commissioners hold regular meetings in monthly basis to ensure the development of the Company's performance and its alignment with target, vision, and mission.
To ensure accountability principle, members of the Board of Directors or the Board of Commissioners with potential conflict of interest is excluded in the decision-making process at the Board of Directors or Board of Commissioners Meeting, and the person concerned must disclose any potential conflict of interest either in the meeting or through CG Tools owned by the Company.
Thus, the decisions in the Meetings of the Board of Directors and the Board of Commissioners are independent decisions, free from the influence of parties with conflicts of interest or other third parties.
The following committees are responsible to the Board of Commissioners in carrying out their roles to oversee and provide advice to the Board of Directors for the benefit of the Company, the Shareholders as well as stakeholders.
Audit and Risk Oversight Committee (AROC) oversees the financial reporting process including to review and supervise the investigation process of complaints directed at the accounting and financial reporting process.
AROC also completed with the role to review the internal control system and internal audit system including to review the efficiency and effectiveness of risk management practices by the Company.
SDGNCC is tasked with duties to review the risk mitigation related with social And Sustainable Development (SD) issues. SDGNCC also monitors the Company’s GCG implementation including corporate governance related policies and performance of corporate governance tools of namely Whistleblowing Systems, Transparency Center and VOiS of Stakeholders.
